Transfer of PAPG (online and cross border) business from Razorpay Software Limited (Formerly known as Razorpay Software Private Limited) to Razorpay Payments Private Limited.

NOTICE is hereby given that the Razorpay Software Limited (Formerly known as Razorpay Software Private Limited) (“the Transferor”) bearing CIN No. U72200KA2013PLC097389, having its registered office at First Floor, SJR Cyber, 22, Laskar Hosur Road, Adugodi, Bangalore, Karnataka, India, 560030, has received the approval of the Reserve Bank of India (“RBI”) on October 29, 2025 to transfer its Payment Aggregation Business (including the operational business, assets, and liabilities related thereto) to Razorpay Payments Private Limited (“the Acquirer”) being CIN No. U62099KA2024PTC188982, having registered office at First Floor, SJR
Cyber, 22, Laskar Hosur Road, Adugodi, Bangalore, Karnataka, India, 560030.

The transfer shall be effective on “January 01, 2026”.

This transfer is being undertaken as part of an internal corporate restructuring exercise to achieve greater operational efficiency and ensure dedicated compliance with the regulatory framework for Payment Aggregator as stipulated by the RBI.

This Public Notice has been issued in compliance with the requirements of Paragraph 3 of Annex-1 to the RBI Circular No. CO.DPSS.POLC.No.S-590/02-14-006/2022-23 dated July 04, 2022, on the “Requirement for obtaining prior approval in case of takeover / acquisition of control of non-bank PSOs and sale / transfer of payment system activity of non-bank PSO”. Merger of Ezetap Mobile Solutions Private Limited with Razorpay Payments Private Limited.

We hereby formally announce that Ezetap Mobile Solutions Private Limited has successfullymerged with Razorpay Payments Private Limited effective from October 1, 2025.

As a result of this merger, please take note of the following critical changes:

• Cessation of Ezetap's Independent Legal Existence: Ezetap Mobile Solutions Private Limited ceases to exist as a separate legal entity.

• Transfer of Assets and Liabilities: In accordance with the scheme of merger, all assets, rights, interests, properties, privileges, obligations, and liabilities of Ezetap Mobile Solutions Private Limited have been transferred to and vested in Razorpay Payments
Private Limited.

• Razorpay Payments Private Limited is the surviving entity post-merger. For all future correspondence, contractual obligations, and legal matters previously addressed to Ezetap, please now address them to:
