Terms of Use for International Orders These terms of use govern any order placed by you (“You/ User/Customer”) pursuant to your shopping on a merchant’s website (the“Merchant”), and for delivery to an address outside of the Merchant’shome country India (an “International Order”). Your order is placedorder/ purchased from Razorpay Inc. (“Razorpay/ We”) as set out below.You need to be above the age of majority in the jurisdiction in which Youreside or need approval of Your parent or guardian to complete Yourpurchase.

If You place an International Order, the item(s) that you are purchasing will be sold first by the Merchant to Razorpay, and then by Razorpay to You. Razorpay is the “Merchant of Record” for Your purchase. Your payment information, shipping address, and any additional information required or requested to complete Your order will be provided by You directly to Razorpay, and not to the Merchant, in order for Razorpay to process your payment and complete your order.

Your International Order is subject to: (1) these Razorpay Terms of Use; (2) the Razorpay Privacy Policy; and (3) any relevant terms and conditions imposed by the Merchant. By completing Your purchase, You confirm Your acceptance of the foregoing and that You have read and agree to be bound by all of these. Illegality or unenforceability of one or more provisions of these Terms of Use shall not affect the legality and enforceability of the other terms of the Terms of Use. For avoidance of doubt, if any of the provisions becomes void or unenforceable, the rest of the provisions of these Terms of Use shall be binding upon the User.

By placing an International Order on the Merchant’s website, You understand and agree that:

1.You are purchasing item(s) from, and providing your information to Razorpay. Razorpay is entitled to verify and authenticate payment information provided by You, and Razorpay may contact You and/or Your payment card issuer to confirm your identity and/or your intent to place the order.

2.Razorpay is entitled to contact You, in case there is an error in the price listed for a product on the Merchant’s website, or in the price applied to the product during the sale of and processing of Your order for the product. In such case, Razorpay may correct the price, and/or cancel Your order.

3.On successful verification of Your payment information by Razorpay, Razorpay will take ownership of the items in Your order till Your payment is approved and processed. Razorpay, acting as the Merchant of Record, will process the Payment details for Your Order.

4.Once Your payment information is processed and the transaction is verified, the items in Your order will be provided to a carrier for shipment to You, and at such time ownership in the items will transfer from Razorpay, as the Merchant of Record, to You.

5.We will instruct the carrier to ship Your order to the Your shipping address, as provided by You. Certain addresses are ineligible for shipment, such as PO box addresses.

6.Razorpay, at its sole discretion, may refuse service, refuse to process or complete orders, remove or edit content, or cancel orders for any reason whatsoever.

7.Currency. You will be provided a list of payment methods and at the time of checkout. The actual purchase price of items in Your order may vary/ will be updated based on the currency chosen.

8.Shipping. Items in Your order may be shipped via a single shipment, or via multiple shipments. If items in Your order are shipped via multiple shipments, or if Your order is only partially filled and shipped, You will only be charged for those items that are actually shipped to You.

9.Chargebacks, Fraud Prevention and Void Transactions. Razorpay may use various fraud prevention protocols and policies, and industry-standard verification systems/ risk engines, to reduce fraud and minimize chargeback risks. The User agree that you shall comply with such protocols and policies, including card authentication, and “ship to” and “bill to” address verification. Once an order is placed, the User may not change any authenticated payment information or any verified “ship to”/“bill to” address. If there is a systemic error which results in the processing or acceptance of a transaction for which authorization has been declined, that transaction will be void.

10.Customer Service. You may reach out to the Merchant or Razorpay for any concerns regarding Your order. Razorpay will work with the Merchant as necessary to resolve Your issue.

11.Returns. If the Merchant allows for returns on International Orders, Razorpay will assist You in processing a return in accordance with the Merchant’s policy, including reimbursement for the original sales prices of returned products, if authorized by the Merchant. Razorpay may refuse any return requested if a restriction applies to the item for which the return is requested.

12.DISCLAIMER OF WARRANTIES. RAZORPAY PROVIDES ITS SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE EXTENT PERMITTED BY LAW, RAZORPAY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE PRODUCTS DEPICTED ON OR ORDERED FROM THE MERCHANT’S WEBSITE, THE PROVISION OF RAZORPAY’S SERVICES, OR THE INFORMATION OR CONTENT DISPLAYED ON OR ACCESSIBLE VIA THE MERCHANT’S WEBSITE INCLUDING THE CHECKOUT PROCESS. YOU EXPRESSLY AGREE THAT YOUR USE OF RAZORPAY’S SERVICES IS AT YOUR SOLE RISK. RAZORPAY DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY PRODUCT IMAGES, DESCRIPTIONS OR SPECIFICATIONS PROVIDED ON THE MERCHANT’S WEBSITE. RAZORPAY WILL USE REASONABLE EFFORTS TO REQUIRE THE MERCHANT TO HONOUR THE LIMITED WARRANTIES FOR THE PRODUCTS SOLD TO YOU FROM THE MERCHANT’S WEBSITE, AND TO THE EXTENT RAZORPAY IS SUCCESSFUL, RAZORPAY WILL PASS THOSE WARRANTIES THROUGH TO YOU.

13.LIMITATION OF LIABILITY. NEITHER RAZORPAY, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, VENDORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, DIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION FOR ANY LOSS OF DATA OR PROFITS, THAT MAY BE INCURRED OR RESULT IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) RAZORPAY’s SERVICES OR PRODUCTS PURCHASED THROUGH RAZORPAY, EVEN IF RAZORPAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT THAT RAZORPAY IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS CONNECTED WITH YOUR USE OF RAZORPAY’S SERVICES OR ANY PRODUCTS PURCHASE THROUGH RAZORPAY, RAZORPAY’s AGGREGATE LIABILITY SHALL NOT EXCEED $100 USD.

14.Intellectual Property. You acknowledge and agree that Razorpay (or Razorpay's licensors) owns all legal and proprietary right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). Unless you have agreed otherwise in writing with Razorpay, nothing in the Terms of Use gives you a right to use any of Razorpay's trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. Unless You have been expressly authorized to do so in writing by Razorpay, You agree that in using the Services, You will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized User of such marks, names or logos.

15.Compliance with Applicable Laws. You shall be solely responsible for understanding and complying with any and all applicable laws relevant to You placing an International Order, and You certify that any products purchased by You through an International Order will not be exported, sold, or transferred in violation of any applicable laws, including without limitation the U.S. Export Administration Regulations or applicable U.S. sanctions and embargoes administered by the U.S. Treasury Department. By placing an International Order You certify that the import of the products You have ordered to the country of the shipping address You have provided does not violate any laws or regulations of that country.

16.Privacy. To complete Your International Order You will be providing personal information to Razorpay and You consent to Your personal information being collected, used, processed, disclosed and/or stored by Razorpay and our service providers as may be required in order to process and complete your order and otherwise provide the services You have requested, in accordance with Razorpay’s Privacy Policy. Razorpay accepts no liability or responsibility for the collection, use, processing, disclosure or storage of your personal information by the Merchant or any service provider engaged by the Merchant. The collection, use, processing, disclosure and/or storage of Your personal information by the Merchant or its service providers is governed by the Merchant’s privacy policy. Razorpay may obtain payment processing services through affiliates or third-party service providers who are required to comply with applicable privacy and data protection requirements.

17.The Merchant and Razorpay may analyze transactional data, in anonymized and aggregated form, for the purpose of identifying trends, statistics and measurements that could contribute to the enhancement of customer experience and/or the services provided by Razorpay.

18.Governing Law and Jurisdiction. You agree that any legal action or proceedings arising out of these Terms of Use or in connection with these Terms of Use may be brought EXCLUSIVELY in the competent courts of the US and you irrevocably submit themselves to the jurisdiction of such courts.

19.Electronic Communications. When You place an International Order through the Merchant’s website, You are communicating with Razorpay electronically, and You and unconditionally and irrevocably accept the terms and conditions set out herein and accept that these terms constitute a binding and enforceable agreement between You and Razorpay. You also consent to receive communications from Razorpay electronically/via email.

20.Modifications. You acknowledge that Razorpay may make changes to its system, policies, and these Terms of Service at any time. Razorpay will ensure that the current version of these Terms of Service is presented every time you make an International Order on the Merchant’s website. You are responsible for reviewing these Terms of Service each time you make an international order. If you do not agree to any change in the Terms of Service, you must not complete your order. Any order placed after the effective date of a change will constitute your agreement to the change and to the current Terms of Service. Severability. If any or any portion of these Terms of Service is found to be invalid, void, or for any reason unenforceable, that term or portion of terms will be severed, and will not affect the validity and enforceability of the remaining terms.
