Terms and conditions for OAuth Consent (Read & Write)

1. We hereby appoint the Partner to take the following actions on our behalf using our account with Razorpay Software Private Limited (“Razorpay”) (“Razorpay Account”):
   1. Create and view payments limited to payment gateway, payment links, subscriptions, QR codes.
   2. Create and view refunds
   3. View settlements
   4. View disputes
   5. Split payments
2. We hereby authorize the Partner and allow Razorpay to enable the Partner, on our behalf, to split payments of the Transaction Amount (that have been initiated through the Partner) into route linked accounts tagged to the Partner for the use cases defined below. For clarity, “Transaction Amount” shall mean the transaction amounts processed by Razorpay for payment requests initiated through Partner platform: 
   1. EMI collection: For collection of daily/weekly/monthly loan installments towards loans provided by Partner’s NBFC partners (“Loans”). 
      1. For the purpose of repayment of Loans: Allow splitting of Transaction Amount in favour of Partner’s NBFC partners as per quantum & frequencies agreed with Partner’s NBFC partners for Loans.
   2. Soundbox Rental Fees: For the purpose of making payment of Soundbox Rental Fees
      1. Allow splitting of Transaction Amount in favour of the Partner for Soundbox Rental Fee ranging between INR 50 – INR 500 per month.
      2. Soundbox Rental Fees will be deducted from the Transaction Amount after fulfilment of the EMI collection amount
      3. Frequency of collection will be monthly 
   3. Partner commission: For the purpose of making payment of Partner commission for Partner’s services (“Partner Fees”):
      1. Allow splitting of Transaction Amount in favour of Partner for Partner Fees ranging between 0% – 20% of the Transaction Amount.
      2. Partner commission fees will be deducted from the Transaction Amount after fulfilment of the EMI collection amount
3. We acknowledge and agree that Partner shall be liable for any transactions initiated through Partner Platform. 
4. We acknowledge and agree that Razorpay shall in no event whatsoever, be liable for any actions or omissions of the Partner based on the above through our Razorpay Account including any negligence, fraud, misconduct or any act of omission or commission. It is hereby clarified that in the event of any disputes with respect to usage of our Razorpay Account shall be resolved solely between the Partner and us and that Razorpay shall not be a party to the same.
5. We hereby acknowledge and agree that Razorpay shall not be liable for any issues or glitches in the Partner’s platform.
6. We shall protect, defend, indemnify and hold Razorpay and its promoters, banks, clients, attorneys, employees, officers and directors harmless from and against all losses, costs, liabilities, claims, damages and expenses of every kind and character as incurred or resulting from or relating to or arising out of:
   1. any act or omission of the Partner and/or;
   2. any claim brought against Razorpay by a third party, including the Partner.
