A Certificate of Incorporation (COI) is a legal document issued by the Registrar of Companies (RoC) to officially recognize the formation and registration of a company. This certificate signifies that your company has completed the necessary steps for incorporation and is now a legally recognized entity.

Format of a Certificate of Incorporation

The document generally includes key information confirming the legal establishment of a company, such as-

  • Company Details:
    The company's name, registered office address, and the type of company structure.
  • Registration Number:
    The registration number on the Certificate of Incorporation (COI) is commonly known as the Corporate Identification Number (CIN) or Limited Liability Partnership Identity Number (LLPIN) [In case of LLPs]. It is a unique alphanumeric code assigned to companies during the registration process.
  • Date of Incorporation
  • PAN & TAN Details of the incorporated company

Format of the Registration Number

Also known as the Corporate Identity Number (CIN), Registration Number is a 21-digit unique alphanumeric code assigned to companies registered in India and issued by the MCA for Private Limited Companies, One Public Companies (OPCs) and Public Limited Companies.

The 21-digit CIN is structured as follows:

  • The first digit indicates if the company is Listed (L) or Unlisted (U).
  • The next five digits represent the industry code.
  • The next two digits represent the state code where the company is registered.
  • The next four digits represent the year of incorporation.
  • The 3 letters represent the Type of Company (Private Limited Company- PTC, Public Limited Company- PLC)
  • The remaining digits are a unique identifier assigned to each company.

For example, a typical CIN looks like this: U72200DL2021PTC123456.

In cases where COI is for Limited Liability Partnership registration, the registration number is called Limited Liability Partnership Identification Number (LLPIN), which is a unique 7-digit alphanumeric code assigned to an LLP upon its registration with the Registrar of Companies (ROC).

Documents Required to obtain a COI in India

  • Identity Proof and Address Proof
    a. Passport/ Aadhar card/ Voter ID/ Driver's License of Directors/ Subscribers/ Partners, 
    b. PAN card, and
    c. Utility bills or Bank Statements as address proof.
  • Proof of Registered Office
    a. Ownership of Property- Any utility bill like an electricity bill or corporation tax receipt not later than 30 days.
    b. Right to use the Property- Rental Agreement or No Objection Certificate (NOC) from the owner.
  • Memorandum of Association (MOA) and Articles of Association (AOA) for registration of Private Limited Companies, One Person Companies, Public Limited Companies, etc.
  • Declaration and Consent of the proposed Directors/ Partners and Nominees

How to obtain a Certificate of Incorporation in India?

The Certificate of Incorporation (COI) serves as confirmation of a successful company registration. Therefore, the process to obtain a COI involves submitting the SPICe+ application, along with the necessary documents, for verification and approval by the MCA. Following that, ROC issues the COI for the registered company.

Below is a general guide on how to get a Certificate of Incorporation:

  • Obtain a DSC through any Government Certifying Agencies.
  • Choose and reserve a unique name for your business through SPICe+ Part A or LLP-RUN, based on the business structure you prefer.
  • Fill out the SPICe+ Part B or FiLLiP (In case of LLPs) along with the requisite documents and attachments.
  • Pay the Fees and submit the form.
  • Once verified and approved, you will receive an email from the MCA that includes the Certificate of Incorporation, PAN, and TAN.
