Things to keep in mind while choosing a Company Name

A company name is more than just words; it's the soul of your brand. So, when it comes to naming your company, there are a few things you need to keep in mind:

  • Partial or full name should not be registered in Trademark in your business class.
  • No offensive words.
  • No clash with the existing names registered with MCA.
  • Avoid names representing alliance with a Foreign Govt.
  • Don't use the name of a Continent, Country, State, or City such as Asia Limited, - Germany Limited, Haryana Limited, or Mysore LLP
  • Avoid using words like Ventures, Holdings, Group, etc.
  • Company Name should ideally be of 2 words; 1st word representing a unique name and 2nd highlighting the company's objective. Example - Tata Motors Pvt Ltd
  • Avoid restricted words like "Finance", "Bank," or "School," as they are subjected to approval by MCA. Here's a full list of restricted words. ( Link to be added)
  • Do not start the company name with “A,” “An,” or “The”
  • Avoid using Special Characters and abbreviations.

Why is a Trademark Search important for any Business?

A trademark search is a fundamental step in building a strong foundation for your business. It ensures that your chosen brand name or logo is distinctive, legally viable, and capable of driving your business's growth while avoiding potential legal complications.

Registering a trademark grants you exclusive rights to use them, establishing your unique identity in the marketplace and preventing others from using similar marks.

Things to consider while performing a Trademark Search for a New Company Name

  • A timely trademark search helps prevent potential future occurrences of rejections by the Trademark Registry and infringement lawsuits.
  • Determine the type of trademark you are looking for.
  • Differentiate between Goods and services when searching for trademarks.
  • Identify the trademark class or classes relevant to your products or services. There are 45 trademark classes, with 34 classes for goods and 11 classes for services.
  • Search through the trademark database of the respective countries you have registered with.
  • Avoid generic and descriptive words as trademarks.

Company Registration vs. Trademark Registration

The main difference between Trademark Registration and Company or LLP Registration lies in their core purposes.  While Trademark registration involves safeguarding your intellectual property, such as brand name, logo, or symbol, Company registration entails the establishment of an independent legal entity.

Upon successful registration of a Company or LLP, the Ministry of Corporate Affairs(MCA) prevents the registration of any other Company or LLP under a similar name. However, if trademark registration is not acquired, others can still use the business name.

What is Trademark Infringement?

Trademark infringement pertains to the unauthorized use of a trademark or service mark in connection with products or services. When a trademark is registered with the Registrar of Trademarks, the owner can initiate legal proceedings in case of direct or indirect replication or utilization without their consent.

A registered trademark is considered infringed under the following circumstances:

  • If the disputed mark is identical or deceptively similar to the registered trademark and relates to the same or resembling goods or services.
  • If the identical or similar mark has the potential to create confusion among the general public, leading to an association with the registered trademark.
  • If the registered trademark is employed as part of a trade name or business identity for goods and services aligning with the trademark's registration.
  • If the trademark's advertisement negatively impacts the distinctiveness and reputation of the registered trademark.

Once a Trademark infringement is proven, you can take the following legal actions:

  • Obtain an injunction or stay order against using the trademark.
  • Seek appropriate damages as compensation.
  • Request disclosure of accounts and profits associated with the infringing use.

Is there a time limit for reserving a company name after the approval?

Different jurisdictions have different rules regarding the duration of reserving a name after a search. An approved name is valid for either 20 days (reserving a name for a new company) or 60 days (changing the name of an existing company) from the approval date.

Can I change my Company Name after registration?

In accordance with the Companies Act 2013, you have the option to change your company name by passing a special resolution during a general meeting. The change also requires approval from both the Registrar of Companies (RoC) and the Central Government.

When Should I Conduct a Trademark Search?

It is recommended to conduct a trademark search before finalizing a brand name, logo, or symbol. Early searches can help you avoid investing time and resources in a mark already in use.

What Information Do I Need to Perform a Trademark Search?

To conduct a trademark search, you'll need the trademark you intend to search, relevant keywords, and possibly the trademark class under which your goods or services fall.

Can I Register a Trademark without a Search?
