SPICe+ Part B

The SPICe+ (Simplified Proforma for Incorporating Company electronically Plus) form is a webform that integrates a wide range of 11 services facilitated by collaboration among three Central Government Ministries and Departments under the Ministry of Corporate Affairs (MCA).

The SPICe+ form is divided into two parts: Part A and Part B. The parts can be simultaneously filed or separately based on your preference.

While SPICe+ Part A is used for name reservation during the company registration, Part B essentially covers-

  • Company Incorporation
  • Allotment of DIN
  • Mandatory issue of PAN, TAN
  • Mandatory issue of EPFO & ESIC registration
  • Mandatory issue of Profession Tax registration (applicable in Maharashtra, Karnataka and West Bengal)
  • Mandatory Opening of Bank Account for the Company
  • Allotment of GSTIN (optional, if applied for).

Example of a SPICe+ Part B

In Part B of the SPICe+ form, there are several sections wherein you need to put relevant details pertaining to:

  • Capital Structure of the Company:
    This field will include "Total Authorized Share Capital”, “Total Subscribed Share Capital,” "Nominal Amount per Share,” "Shareholding patterns,” etc. 
    Please Note- The total Subscribed equity share capital shall be equal to or greater than Rupee 1 in the case of an 'OPC' company, Rs. 2 in the case of a 'Private' company, and Rs. 7 in case of a 'Public' company. 
  • Registered Office Address:
    This section depicts the address of the correspondence, which can be the same or different from the registered office address.
    If the registered address is different, INC-22 must be filed within 30 days of its incorporation to intimate the registered office address.
  • Details of Proposed Members (Directors/ Subscribers):
    The no. of members (including & excluding proposed employees), no. of members without valid DIN or of foreign origin, PAN details ( In case DIN is not provided, this field shall be mandatory), Identity and Address proofs of the members, etc. are some of the essentials to be filled in this section.
  • Attachments:
    This is where you need to provide essential attachments like INC 9 (Declaration by Directors and Subscribers), eMOA, eAOA, etc. In most cases, the attachments can vary from one company type to another. 
    Note- The INC 9 is often auto-generated in PDF format and submitted digitally in all instances, except for cases where the total number of subscribers and/or directors exceeds 20, or any of these subscribers and/or directors do not possess both DIN and PAN.

Documents Required for submitting a SPICe+ Part B in India

Before submitting SPICe+ Part B, it is essential to have completed and submitted SPICe+ Part A. The Part B submission must follow the approval of the name reservation.

The following documents must be enclosed for SPICe+ Part B:

  • Memorandum of Association
  • Articles of Association
  • Declaration by the first director(s) and subscriber(s) (Form INC9; Affidavit not required)
  • Proof of registered office address
  • Copy of utility bills
  • No Objection Certificate (NOC) for using the premises as the registered office, obtained from the owner mentioned in the utility bill
  • Copy of the certificate of incorporation of a foreign corporate body (if applicable)
  • Declaration of the interest of the first director(s) in other entities
  • Consent of Nominee (INC–3) (Applicable for one-person Company)
  • Proof of identity of Directors/ Subscribers
  • Proof of identity of the Nominee (if applicable)
  • Declaration in Form No. INC – 14 (Applicable for section 8 Company)
  • Declaration in Form No. INC – 15 (Applicable for section 8 Company)
  • Attachments – Part A (Name Reservation Approval)
  • Optional attachments (if any)

How to Submit SPICe+ Part B?

 In case SPICe + Part A and Part B are filed separately:

  • Egestas ornare
  • Log in to the MCA portal using valid credentials.
  • Go to the 'SPICe+' application from the application history on the user dashboard.
  • Access the SRN dashboard by clicking on the relevant SRN/SPICe+ application marked as 'SPICe+ Part A approved.'
  • Click on "Form No. SPICe + Part B”.
  • Complete and Submit the web form.
  • Once you submit the SPICe+ Part B webform, access to linked forms such as eMoA, eAoA, INC-9, URC-1, and AGILE Pro S will be enabled.
  • Apply the Digital Signature Certificate (DSC).
  • Upload the DSC-affixed PDF document(s) on the MCA portal.
  • Pay the required fees.
  • Generate the acknowledgment email.
  • Upon processing the web form, an intimation mail, along with the Certificate of Incorporation, PAN, TAN, etc., will be generated.

In case SPICe + Part A and Part B are filed together:

  • Egestas ornare
  • Log in to the MCA portal using valid credentials.
  • Navigate to the 'SPICe+' application from the application history on the user dashboard. 
  • Submit the SPICe+ Part A application.
  • Click on the 'Proceed for incorporation' button.
  • Access the SRN dashboard by clicking on the relevant SRN/SPICe+ application with the status as 'Draft.'
  • Click on "Form No. SPICe + Part B”.
  • Complete and Submit the SPICe+ Part B application.
  • Once you submit the SPICe+ Part B web form, access to linked forms such as eMoA, eAoA, INC-9, URC-1, and AGILE Pro S will be enabled.
  • Upload the DSC-affixed PDF document(s).
  • Pay the fees.
  • An intimation mail, along with the Certificate of Incorporation, PAN, TAN, etc., will be generated upon processing the web form.

In case of any underlying defects, you are allowed to resubmit the SPICe+ form twice, provided the status shows “Resubmission required” in the application dashboard.

Validity of the SPICe+ Part B

Following the name reservation, you have the option to commence your Part B application within 20 days from the approval date. There is an option to prolong the validity of the reserved name beyond the initial 20 days by paying the required fees.

Once the SRN is generated, it is essential to upload the DSC-affixed PDF successfully within 15 days.

Additionally, the payment must be completed within 7 days of successfully uploading the DSC-affixed document. Failure to comply will result in the cancellation of the SRN, and you will need to submit a new SPICe+ application.

Is SPICe+ Part B mandatory for company incorporation?

Yes, SPICe+ Part B is integral to the incorporation process of private limited, one-person companies, and public limited companies in India. For Limited Liability Partnerships, you can fill out the designated form - FiLLiP.

What precautions are required while submitting the SPICe+ form?

  • Egestas ornare
  • Ensure the PDF version is the most recent.
  • The form must bear digital signatures from both the director and the professional.
  • Validate the digital signatures.
  • Confirm that directors are not disqualified under any provision of the Companies Act 2013.
  • Ensure document sizes adhere to prescribed limits (10 MB).
  • Verify that the attached documents are clear and legible.
  • Confirm that signatures are original, not copied, and pasted into any attached documents.

Is DSC mandatory during the SPICe+ Part B application process?

A valid DSC from certified authorities is mandatory to proceed further in the Company Registration process. The DSC is used to affix and authenticate the documents while submitting the SPICe+ part B form.

Can I fill SPICe+ Part B offline?

No, SPICe+ Part B is an online form and must be filled out and submitted through the MCA21 portal.
