SPICe+ Part A

The SPICe+ ( Simplified Proforma for Incorporating Company electronically Plus) form is an integrated web form that consolidates 11 services with the help of 3 Central Government Ministries and Departments.

The SPICe+ form is divided into 2 parts:

  • SPICe+ Part A- If you are newly incorporating your company, you can fill out the Part A form to reserve your name and initiate the company registration process.
  • SPICe+ Part B- This section of the form covers a range of vital services, including company incorporation, application for Director Identification Number (DIN), PAN application, TAN application, GSTIN application, EPFO registration, ESIC registration, opening of a company bank account, and, exclusively for Maharashtra, Profession Tax Registration.

Both Part A (Name Reservation) and Part B (All Other Services) can be simultaneously filled. Alternatively, you can initiate the process by applying for Part A and then applying for Part B to access the full suite of services required for company incorporation.

For an existing company, you can use the Reserve Unique Name (RUN) web service by the MCA for the name reservation and change.

Example of a SPICe+ Part A

  • Type of Company:
    This could include options like Private Limited Company, Public Limited Company, One Person Company (OPC), etc. Choose the type that suits your business structure.
  • Class of Company:
    Companies can be classified based on their size or other criteria. Common classes include Small Company, Non-Small Company, etc.
  • Category of Company:
    Categories might include whether the company is a government, non-government, or Section 8 Company (companies formed for charitable purposes), etc.
  • Sub-Category of Company:
    Depending on the category chosen, there might be sub-categories. For example, if the category is a non-government company, the sub-category could be a company limited by shares, a company limited by guarantee, etc.
  • Main Division of Industrial Activity of the Company:
    This refers to the primary sector or industry in which the company operates. It could be manufacturing, trading, services, etc. Provide relevant codes for different industrial activities. A detailed list of industry codes can be accessed here.
  • Description of Main Division:
    Provides a detailed description of the main division of industrial activity selected. For example, if the main division is manufacturing, specify the type of products the company will manufacture.
  • Proposed Names: If you reserve the proposed name first and file Part B of the SPICe+ form later, then a maximum of two names can be applied through SPICe+ Part A. In simultaneous filing, only one name can be reserved for the approval.

Documents Required for Name Reservation

While reserving a name through Part A of SPICe+, attaching documents is optional. However, it becomes mandatory to include relevant documents in certain instances, such as specific cases like-

  • In the case where regulatory approvals are required:
    A name reservation often requires approval from the regulatory authorities when it incorporates specific terms such as 'Bank,' 'Insurance,' 'Banking,' 'Venture Capital,’ 'mutual fund’ or similar expressions. 
    While not mandatory for all cases, the attachment of relevant documents and No Objection Certificates (NOCs) becomes a requirement in Part A of SPICe+ under specific circumstances where regulatory approval or specific clearances are applicable.
  • In the case of incorporating a subsidiary of a foreign company:
    Attaching a certified copy of the Board Resolution is a mandatory step. A No Objection Certificate (NOC) is also required for this process. The NOC, duly signed by the Authorized Representative, signifies the consent and approval of the foreign company for establishing the subsidiary.

Company Name Search

Selecting the right company name and conducting a thorough name search are critical steps before submitting the Part A form to initiate the Company Registration process.

The Ministry of Corporate Affairs has established clear guidelines that must be followed to meet regulatory standards. Some of these include:

  • Egestas ornare
  • Ensure that the partial or full name is not registered as a trademark in your business class.
  • Exclude any offensive words from your company name.
  • Check for potential clashes with names already registered with the MCA.
  • Avoid using the name of a Continent, Country, State, or City such as Asia Limited, - Germany Limited, Haryana Limited, or Mysore LLP.
  • Ideally, the company name should consist of two words, the first representing uniqueness and the second highlighting the company's objective.
  • Avoid using restricted words like "Finance," "Bank," or "School" without MCA approval.
  • Do not start the company name with "A," "An," or "The."
  • Avoid using special characters and abbreviations.

How to Submit SPICe+ Part A?

A brief walk-through of the steps required to submit the SPICe+ Part A form-

  • Egestas ornare
  • Login with Valid Credentials.
  • Select "MCA services" and then choose "Company Services" from the options.
  • Access the "SPICe+ Part A" section within the MCA services.
  • Fill out the application form and provide the required documents.
  • Submit.
  • Upon submission, a Service Request Number (SRN) is generated. Keep this for future correspondence with MCA.
  • Pay the applicable fees.
    Note: If payment isn't completed within 7 days of SRN generation, the SRN will be canceled.
  • Receive an acknowledgment email confirming the submission.
  • Once the form is processed, an approval or rejection letter is sent to the registered email ID.

Validity of the SPICe+ Part A

The Central Registration Centre (CRC) has the authority to reserve a name for up to 20 days from the date of approval based on the information and documents provided.

You also have the flexibility to extend the validity of the reserved name beyond the initial 20 days. Here’s an outline of the said process:

  • Log in to the MCA portal using valid credentials.
  • Navigate to the user dashboard and access the application history.
  • Click on the SRN/SPICe+ application marked with the status 'SPICe+ Part A approved.'
  • Select the 'Extend' button.
  • Choose the desired extension period.
  • Proceed to make the required fee payment.
  • Upon completion, an acknowledgment email is generated confirming the extension process.

Fees for SPICe+ Part A in India

The Normal fee for name reservation through SPICe+ Part A is Rs. 1,000.

Please note that government fees and regulations are subject to change, and it's advisable to check the latest guidelines on the official MCA website in India.

Fees for extension of reserved name validity:

  • Reservation of name for 20 Days- Rs. 1,000
  • Reservation of name for 40 Days- Rs. 3,000

Is a Digital Signature Certificate (DSC) mandatory for SPICe+ Part A?

DSC is not obligatory for name reservation. However, if you submit Part A and Part B simultaneously, it is advisable to have your DSC readily available for a smoother application process.

How many proposed names can I submit for name reservation in Part A of SPICe+?

If you choose to reserve the proposed name initially and file Part B of the SPICe+ form later, you can apply for a maximum of two names through SPICe+ Part A. From there, the Central Registration Centre (CRC) will approve a single name.

However, if the entire incorporation application, including both SPICe+ Part A and B, is submitted simultaneously, only one proposed name can be entered in SPICe+ Part A.

What will happen if the proposed name resembles the name of an existing company or LLP?

The name shall be treated as undesirable and sent for resubmission or rejection, as the case may be.

Can I get a refund if the name reservation application is rejected?

No, the fee for a name reservation is non-refundable, even if the application is rejected. In cases where the name is disapproved during a combined application (Part A + Part B), you can reapply/resubmit using the same SPICe+ form without facing any additional charges.

Can I file SPICe+ Part A as an NRI?

Yes, you can file SPICe+ Part A and be a director of an Indian company as an NRI. In such cases, you must follow the standard procedure and provide the necessary documentation.
