The Form for incorporation of Limited Liability Partnership (FiLLiP) is used for the incorporation of a Limited Liability Partnership (LLP) in India.

- Name Reservation Section: In case LLP name is already approved through RUN-LLP webform, the user is required to mention the SRN of such approved form and validate the same with required details. Alternatively, you can also mention the proposed name in this section.
- Incorporation Details: This section is mandatory in case the LLP is already registered and the form is for conversion of LLP into another business entity.
- Details of business activity carried out by LLP on incorporation: It is especially required if the name reservation is also carried out through the FiLLiP. You need to provide details like the main industry or sector in which an LLP operates classified by a 5-digit NIC Code, a detailed description of the main division of industrial activity selected, etc.
- Particulars of Proposed Partners: The total no. of designated Partners (DPs) and Partners with or without DIN and their particulars like identity and address proofs.
- Total monetary value of contribution by partners in the LLP: Information regarding total contribution by all Partners/DPs i.e., the sum of contributions by all designated partners/partners.
- Attachments: This is where you provide relevant attachments like copy of regulatory approvals, Consent of the Partners (Form 9) and identity and address proofs.
Documents Required while submitting a FiLLiP in India
Here's a general list of documents and details that are commonly needed:
- Identity Proof and Address Proof
a. Passport/ Aadhar card/ Voter ID/ Driver's License of partners,
b. PAN card, and
c. Utility bills or Bank Statements as address proof. - Proof of Registered Office
a. Any utility bill like an electricity bill or corporation tax receipt not later than 30 days or
b. Rental Agreement or No Objection Certificate (NOC) in cases where you are not the owner of the registered office address. - Declaration and Consent of the proposed Partners
Form 9 serves as the official consent to assume the role of a Partner within the prospective company.
How to Submit FiLLiP?
- Begin by accessing the MCA homepage.
- Log in to the MCA portal using valid credentials.
- Under "MCA services," select "E-Filing."
- Choose "LLP Forms Download."
- Navigate to the header "Name reservation and LLP incorporation."
- Click on "Form FiLLiP" under the header "Name reservation and LLP incorporation."
- Complete the application form.
- Proceed to fill out Form 9 (Consent to Act as Designated Partner).
- Fill out other optional forms such as Form 17, 18, etc.
- Submit the webform.
- A Service Request Number (SRN) is generated upon form submission.
- Affix the Digital Signature Certificate (DSC).
- Upload the PDF document with the affixed DSC on the MCA portal.
- Pay the applicable fees. Note that failure to upload the DSC-affixed PDF within 15 days of SRN generation and complete the payment within 7 days of successful upload of the document or the due date of filing the form + 2 days (whichever is earlier) will result in SRN cancellation.
- An acknowledgement is generated.
