UPGRADE TERMS
This Upgrade Terms (“Upgrade Terms”) is a legally binding online agreement (“Agreement”) between any person signing up on the Upgrade Terms (hereinafter referred to as “you”, “your”, “Partner”) AND Razorpay (hereinafter referred to as “We”, “us”, “Our”,“Razorpay”, “Company”).This Agreement to be read along with the Partner Terms and Conditions (collectively referred to as “Partner Terms”). By agreeing to this Partner Terms, you agree to comply with the updated Schedule I depending on the Razorpay Partnership Program approved for you. The two Razorpay Partnership Program are (a) Aggregators and (b) Platform.
The below Schedule I will be applicable on you, depending on the upgraded approved partnership model communicated to you by Razorpay.
SCHEDULE I
AGGREGATOR- SPECIFIC PARTNERSHIP FORM
- Definition:
- “Aggregators” shall mean those Partners who are authorized by Referred Merchants to carry out Aggregator Activities (as defined in the Aggregator SPF) on behalf of the Referred Merchants.
- “Aggregator Activity” shall include but is not limited to (i) creating payment links and QR- codes, (ii) create payment via payment gateway, (iii) initiate refunds, (iv) gain read only access to the Transactions (v) gain read only access to the refund history, (vi) gain read only access to the dispute history, (vii) manage Referred Merchant’s account end to end (i.e. providing due diligence documents or responding to queries relating to Referred Merchant onboarding, respond to chargeback queries on the Referred Merchant, submit Referred Merchant’s KYC and other related documents as and when requested to the Referred Merchant).
- Terms of Participation:
- Partner shall first onboard itself with the Company by completing the requisite onboarding activities.
- Upon completion of onboarding, Partner shall gain access to its Dashboard where it shall (i) refer the Referral Leads to the Company, (ii) add and view the list of Referred Merchants, (iii) view and access Commission received and other reports associated with its activities under the Razorpay Partnership Program. Additionally, upon completion of onboarding and integration requirements to the satisfaction of the Company, the Partner shall have a ‘switch access’ feature in the Dashboard that enables the Partner to switch into a Referred Merchant’s account to take actions on behalf of the Referred Merchant.
- Partner via ‘switch access’ feature undertakes to carry out Aggregator Activity on behalf of the Referred Merchant with such Referred Merchant’s consent. Partner represents, warrants and covenants that it has obtained valid consent from the Referred Merchants for conducting the Aggregator Activity and shall indemnify the Company in case of any breach of this clause. Partner shall provide such consent for verification to the Company on demand.
- Commission:
- Commission shall be calculated as mutually agreed between the Parties in writing.
- Partner Base price shall be as follows:

*Fee: Razorpay levies a platform fee for the payment acceptance infrastructure and related services provided by it. Specifically, the platform fee comprises the following: (a)Merchant Discount Rate (MDR): the fee charged in relation to settlement of the transactions, and includes the interchange fee, switching fee and any other fees that may be levied by acquiring banks, card networks, issuing bank or any other participant entity involved in the payment chain for completion of the transaction. Where the limits on MDR are not specified under applicable law, MDR is charged in accordance with market practice and per the charges specified by our banking partners and other participants in the payment processing flow.
(b) Technology fee: Charge levied by Razorpay on the merchant towards: providing a unique, seamless and best in class payment experience for the merchant’s Customers. *Taxes as per applicable laws. *Setup & AMC cost is non-refundable. *For Rupay Debit Cards and UPI transactions, platform Fees comprises zero MDR (in accordance with current regulations) and technology fees only. |

PLATFORM- SPECIFIC PARTNERSHIP FORM
- Definition:
- “Platforms” shall mean those Partners who are authorized by the Referred Merchants to carryout Platform Activities (as defined in the Platform SPF) on behalf of the Referred Merchants.
- “Platform Activity” shall include but not limited to (i) creating payment links and QR- codes, (ii) create payment via payment gateway, (iii) initiate refunds, (iv) gain read only access to the Transactions (v) gain read only access to the refund history and (vi) gain read only access to the dispute history.
